Robinhood Rejects AMC Demand Over Stock Tokens Clash

Robinhood rejects AMC’s demand amid a dispute over tokenized AMC stock shares.

Summary :

  • Robinhood's legal chief told AMC to "send your lawyers" over the tokens.

  • CEO Vlad Tenev backed the refusal minutes later on X.

  • AMC's Aron had demanded a voluntary cease-and-desist.

  • RedStone says the fight is about consent and registration, not tokenization.

  • Tokenized stocks reached $2.91B in value, up 17.5% in 30 days.

The Robinhood-AMC clash over stock tokens escalated into open defiance, with Robinhood's chief legal officer rejecting AMC's demand to halt its AMC-linked token — "send your lawyers and we'll educate them" — and turning a dispute over one ticker into the defining test of how US rules will treat third-party tokenized equities.

Dan Gallagher, who served as an SEC commissioner from 2011 to 2015, posted the refusal on X after AMC CEO Adam Aron demanded Robinhood "cease and desist" voluntarily and threatened to ask the SEC to review the arrangement:

"We know a little something about the U.S. securities laws and will not 'DECIST.' Send your lawyers and we'll educate them." — Dan Gallagher (@DanGallagherDC), September 4, 2026

CEO Vlad Tenev backed Gallagher minutes later, saying Robinhood stood behind its Stock Tokens. No lawsuit or SEC enforcement action had been announced at publication — Aron's claims remain allegations, not findings — but the exchange of positions is now fully public and fully hostile.

What the stock tokens actually are

The product's structure explains both sides' confidence. Robinhood's Stock Tokens are tokenized debt securities issued by Robinhood Assets (Jersey) Limited — not shares issued by the companies they track. Each ERC-20 token corresponds to a particular stock or ETF, uses a Chainlink data feed to publish its reference price onchain, and is backed one-for-one by underlying shares at a licensed custodian. But holding a token confers no legal or beneficial rights against AMC: no votes, no shareholder standing, claims resting on a contract with the Jersey issuer. Dividends and splits are handled through an onchain multiplier. If the issuer fails, an independent security agent would sell the underlying shares and pay eligible holders. The tokens are not registered under the US Securities Act and cannot be offered to US persons — which is exactly Aron's complaint: a synthetic market-tracking AMC, created through a Jersey unit without the company's participation, could interfere with its control over capital-raising.

The market context is growing fast enough to make the fight matter. RWA.xyz placed the value of tokenized stocks at approximately $2.91 billion, up 17.5% over 30 days, across 5,245 products — with Robinhood ranked sixth among platforms, 189 assets worth about $103.2 million. Aron's original objection drew the first line days ago; Gallagher's answer draws the second. The chain hosting the products just set volume records, and its DeFi economy is consolidating — the commercial stakes now dwarf one theater chain's complaint.

Consent, registration, and what survives

Industry analysts mostly reject Robinhood's bravado as a legal summary while accepting it as a posture. Marcin Kaźmierczak, co-founder of oracle provider RedStone, argues the dispute has nothing to do with blockchain: "Robinhood wrapped a public company's shares into an offshore, unregistered derivative without notifying the company, so this reaction was predictable. It's a consent and registration issue." In his view, products that involve the referenced company and comply with securities requirements from launch have the stronger path than synthetic structures built to operate outside US registration — and the fight's real effect will be accelerating a US framework rather than slowing tokenization. The SEC's own staff drew the same dividing line in a January statement distinguishing issuer-sponsored tokenized securities from third-party tokenization, seeking clear ownership disclosures and oversight for the latter. Nothing in current law obviously requires a company's permission to sell a derivative tracking its share price — options markets have done it for decades — but tokenization adds transferability, anonymity and retail distribution that old rules never anticipated.

The likeliest endgame is not a courtroom over one token but a rulebook over all of them: AMC has already said it will consider asking the SEC to review the structure, and the SEC is simultaneously writing transfer agent rules for onchain securities. Those rules will decide which tokenization models survive — and whether "send your lawyers" becomes Robinhood's business model or its epitaph.
