Galaxy Says Reg Crypto Could End Token Legal Ambiguity

Galaxy Says Reg Crypto Could End Token Legal Ambiguity
Galaxy says the SEC's Reg Crypto proposal could end legal uncertainty for legacy tokens through a formal investment contract safe harbor, resolving years of ambiguity.

Galaxy Digital has published research suggesting that the SEC's proposed Regulation Crypto Assets framework could end the legal ambiguity that has clouded the status of legacy crypto tokens, potentially resolving one of the industry's most persistent regulatory challenges.

The analysis from Galaxy, a leading digital asset financial services firm, examines the SEC's proposed Regulation Crypto Assets framework, which was published on August 18 and creates a bespoke regulatory regime for token offerings. The proposal includes a safe harbor for investment contracts involving crypto assets, which Galaxy says could provide legal certainty for tokens that have existed in a regulatory gray area for years.

The Reg Crypto Framework

The SEC's proposed Regulation Crypto Assets creates a lawful path for public token sales up to $75 million, with purpose-built disclosure rules tailored to the characteristics of crypto assets. The framework establishes a five-part token taxonomy that classifies tokens based on their characteristics and regulatory status, providing clarity on which tokens are subject to securities regulation and which are not.

The most significant feature of the proposal, according to Galaxy, is the investment contract safe harbor. This safe harbor could resolve the legal uncertainty that has surrounded many legacy tokens, which were issued before the current regulatory framework was established. These tokens have existed in a gray area, with the SEC arguing that many are unregistered securities while token issuers argue that they are utility tokens or commodities. The safe harbor could provide a path for these tokens to achieve regulatory compliance without facing enforcement actions. Ending Token Legal Ambiguity

The legal ambiguity surrounding crypto tokens has been one of the industry's biggest challenges. Token issuers have faced the threat of SEC enforcement actions, with the agency bringing numerous cases against projects for conducting unregistered securities offerings. The threat of enforcement has discouraged innovation and driven some crypto projects to move overseas, where regulatory frameworks are clearer.

Galaxy's analysis suggests that the Reg Crypto proposal could change this dynamic by providing a clear regulatory path for token issuers. If the safe harbor is implemented, tokens that meet the specified criteria would be able to operate without the threat of enforcement, providing legal certainty that has been lacking. This could encourage more token projects to register with the SEC and comply with regulatory requirements, rather than operating in the gray market. The Safe Harbor Mechanism

The safe harbor in the Reg Crypto proposal would allow tokens to transition from investment contracts to non-securities over time, reflecting the reality that many tokens become sufficiently decentralized that they no longer meet the definition of a security. This concept, known as the concept that investment contracts can come to an end, was previewed by SEC Chairman Atkins in a November 2025 speech and is now being formalized in the proposed regulation.

The safe harbor mechanism could be particularly beneficial for legacy tokens that were issued as investment contracts but have since become decentralized. Under the current regulatory framework, these tokens remain technically subject to securities regulation even if they no longer function as securities. The safe harbor would provide a path for these tokens to exit the securities regulatory framework, ending the legal uncertainty that has limited their adoption and development. What This Means for the Crypto Industry

If the Reg Crypto proposal is implemented, it could provide the regulatory clarity that the crypto industry has been seeking for years. The framework would create a clear path for token issuers to conduct public sales, raise capital, and achieve regulatory compliance. This could unlock significant innovation, as projects that have been deterred by regulatory uncertainty may finally be able to launch with confidence.

However, the proposal is still in the public comment period, and its final form may differ from the initial draft. The crypto industry will need to engage with the SEC during the comment period to ensure that the final rules are workable and do not create unintended consequences. The CLARITY Act, if passed, could also affect the regulatory landscape, potentially creating overlap or conflict with the SEC's framework.
