Consensys Splits MetaMask Into Standalone Company

Consensys Splits MetaMask Into Standalone Company

Summary:

  • Consensys is splitting into two independent companies.

  • Consensys Software Inc. rebrands as MetaMask, with Joe Lubin as chairman and CEO.

  • Linea, Infura, Besu, and Teku move to a separate infrastructure entity.

  • Management stayed silent on IPO speculation despite the $7 billion 2022 valuation history.

  • MetaMask serves over 30 million monthly active users.

Consensys is splitting itself in two, and the half getting the famous name is the wallet. Consensys Software Inc. will rebrand as MetaMask, focused exclusively on the self-custody wallet, its browser extension, mobile app, and consumer features like Swaps, Bridges, and Staking, with Ethereum co-founder Joe Lubin as chairman and CEO of the rebranded company. A second, distinct entity takes the institutional and developer infrastructure: Linea, the zkEVM layer-2 rollup; Infura, the node and API backbone; and the Besu and Teku Ethereum clients. Management said nothing about an IPO, which is itself information given the venture rounds that valued Consensys at $7 billion in 2022.

"Separating our core consumer wallet product from our underlying developer and protocol infrastructure provides sharper strategic focus and agility as Web3 transitions into mainstream adoption," Lubin said in the announcement. MetaMask remains the world's leading self-custody wallet with more than 30 million monthly active users, a scale most consumer fintechs would kill for, and a monetization base still concentrated in swap and bridge fee markups.

Why the MetaMask Split Had to Happen

The conflict-of-interest problem was structural, and everyone in the industry knew it. MetaMask is the default gateway to every EVM network, while Linea is one of the layer-2 networks competing for that traffic. Wallet defaults shape user flows, and an L2 that shares a corporate parent with the dominant wallet lives under permanent suspicion, a neutrality problem MetaMask answered today by severing the tie. The split also gives the infrastructure business an honest positioning: Infura and the enterprise clients are protocol-agnostic utilities, and housing them with a consumer brand muddied both stories.

Then there is the listing question the company declined to answer. Unbundling a 30-million-MAU consumer product from capital-intensive protocol research and node infrastructure is textbook pre-IPO hygiene, the same corporate cleanup pattern every company runs before an equity event. A consumer wallet with fee revenue is a valuation story; a conglomerate holding an L2, a dev-tooling monopoly, and a wallet is a discount. Whether the listing arrives or not, the structure now supports one. The silence is loud, but silence is not confirmation.

The Account Abstraction Squeeze

The competitive pressure explains the urgency. MetaMask's franchise is under attack from embedded smart wallets and account abstraction, where passkeys and gasless onboarding remove the seed-phrase experience that made MetaMask the default, and stablecoin wallets are becoming the primary money hub for mainstream users. A dedicated consumer company can acquire onboarding startups, ship fiat checkout rails, and iterate the extension without coordinating with an enterprise division, and the Ethereum road ahead only raises the stakes, with the protocol itself now planning quantum-resistant upgrades that wallets will have to carry. The honest caveats: split reorganizations cause product delays while shared engineering and legal resources are carved between entities, and swap-fee revenue faces steady erosion from fee-less aggregators. MetaMask's moat is habit, and habit is defensible only while innovation speed stays high.

Watch the new infrastructure company's name and capitalization, because whoever funds it gets a say in Ethereum's plumbing. And watch whether the IPO questions start getting answers within two quarters. The split is complete strategy; the silence is temporary tactics.
