1. What BITNXT Is — and Is Not

BITNXT ("BITNXT.IO," "we," "us," or "our") is operated by a company, "CM Solutions LLC," incorporated and licensed in the United Arab Emirates under the laws of the Emirate of Sharjah, with its registered office at FZ Shams, Sharjah. BITNXT operates bitnxt.io (the "Site"), a platform that aggregates, displays, and publishes publicly available information about cryptocurrencies, tokens, and digital assets ("Listings"), and that sells advertising space to third parties.

1.1 Not a Regulated Financial Entity

BITNXT is strictly an information and media publishing platform. BITNXT is NOT, and does not hold itself out to be:

• a cryptocurrency exchange, broker, dealer, or trading venue;
• a custodian, wallet provider, or holder of any user or third-party funds or digital assets;
• a financial advisor, investment advisor, broker-dealer, or any form of regulated financial intermediary;
• a Virtual Asset Service Provider (VASP) or equivalent regulated category under any anti-money-laundering, securities, or financial-services framework in any jurisdiction;
• an underwriter, guarantor, sponsor, or issuer of any coin, token, or project listed on the Site.

1.2 No Transaction Involvement

BITNXT does not facilitate, process, execute, settle, or have any involvement whatsoever in the buying, selling, exchange, transfer, or custody of any cryptocurrency, token, or digital asset. All such activity, if any, occurs entirely on third-party platforms outside BITNXT's control, and BITNXT is not a party to it.

2.1 No Investment Advice

Nothing on the Site constitutes financial, investment, legal, tax, or other professional advice. All content — including but not limited to coin/token listings, rankings, price data, charts, descriptions, "trending" or "featured" placements, articles, and any other material — is provided solely for general informational purposes.

2.2 No Endorsement or Recommendation

The appearance of any coin, token, or project on the Site, in any position, category, ranking, or "featured"/"trending"/"hot" placement, does not constitute and must never be construed as:

• an endorsement, recommendation, approval, verification, or certification of that coin, token, or project by BITNXT;
• a representation that the coin, token, or project is safe, legitimate, viable, compliant with any law, or free of fraud;
• a guarantee, prediction, or assurance of any future price, performance, liquidity, or return.

2.3 Unverified Third-Party Listings

Many Listings on the Site, including paid, sponsored, "featured," or self-submitted Listings, are submitted directly by third parties (project teams, promoters, or members of the public) with little to no independent verification by BITNXT of the accuracy, completeness, legality, or legitimacy of the information submitted. Users must treat all Listing content as unverified third-party claims.

2.4 Your Responsibility to DYOR

You are solely responsible for conducting your own independent research, analysis, and due diligence ("DYOR") before making any decision relating to any coin, token, or project referenced on the Site, including consulting a licensed, qualified financial, tax, or legal professional where appropriate.

3.1 Data Sourced From Third Parties

Price data, market capitalization, supply figures, trading volume, charts, and all other quantitative data displayed on the Site are sourced from third parties, automated feeds, APIs, and/or user/project submissions. BITNXT does not independently verify, audit, or guarantee the accuracy, completeness, reliability, or timeliness of any such data.

3.2 Data May Be Inaccurate or Delayed

Data may be delayed, incomplete, inaccurate, or subject to manipulation by third parties (including by project teams or market participants seeking to inflate apparent volume, holder counts, or other metrics). BITNXT disclaims all responsibility for losses arising from reliance on such data.

3.3 Right to Modify or Remove Data

BITNXT reserves the right to modify, suspend, correct, or remove any data or Listing at any time, without notice, and without liability for any consequence of doing so or of failing to do so.

4.1 Submission

Any party may submit a coin, token, or project for Listing, whether free or paid, subject to BITNXT's then-current submission process. Submission does not guarantee acceptance, and BITNXT may reject, delay, suspend, or remove any Listing at its sole discretion, with or without reason or notice.

4.2 No Vetting Obligation

While BITNXT may apply basic, non-exhaustive screening to Listing submissions (such as checking for completeness of submitted fields), BITNXT has no obligation to investigate, audit, verify, or background-check any coin, token, project, team, smart contract, or claim submitted, and undertakes no duty of care to any user in respect of such screening, whether performed or not.

4.3 Paid / Featured Placements

Where a project pays for a "featured," "sponsored," "trending boost," or similar enhanced placement, such placement reflects only that a fee was paid for visibility and carries no implication of vetting, quality, safety, or endorsement beyond what is disclosed in Section 2. All such placements will be reasonably labelled as paid/sponsored advertisement (ad) where required by applicable advertising or consumer-protection law.

4.4 Removal

BITNXT may remove or de-list any project at any time, including in response to credible reports of fraud, but BITNXT is under no obligation to monitor, investigate, or act on any such report within any particular timeframe, and assumes no liability for Listings that remain live or for the timing of any removal.

4.5 User-Generated and Third-Party Content

Comments, ratings, submissions, or other content provided by users or third parties on the Site reflect the views of their authors only and not of BITNXT. BITNXT is not responsible for the accuracy or legality of such content and may, but is not obliged to, moderate or remove it.

5.1 Advertiser Content

The Site displays paid advertisements and promotional content from third parties ("Advertisers"). Advertisements are clearly the content of the relevant Advertiser, not of BITNXT, and their inclusion on the Site does not constitute BITNXT's endorsement of the Advertiser, its products, or any claims made in the advertisement.

5.2 Advertiser Compliance

BITNXT requires Advertisers promoting virtual digital assets, crypto-exchanges, or related products to include risk disclaimers consistent with applicable advertising standards and consumer-protection laws in the relevant jurisdiction(s), but BITNXT does not guarantee that every Advertiser's content is fully compliant at all times, and is not liable for an Advertiser's non-compliance, misleading claims, or unlawful conduct.

5.3 Third-Party Links

Clicking on any advertisement or affiliate link takes you to a third-party website outside BITNXT's control. BITNXT is not responsible for the content, products, services, security, privacy practices, or conduct of any third-party site, including any exchange, wallet provider, or platform you may transact with after leaving the Site.

5.4 Referral & Affiliate Compensation

BITNXT may receive referral fees, commissions, or other compensation from Advertisers or third-party platforms linked from the Site (including affiliate arrangements). This financial relationship does not change the disclaimers in Sections 2 and 5.1–5.3, and must not be interpreted as a recommendation of the linked platform.

6.1 Acknowledgement of Risk

You acknowledge and agree that:

• cryptocurrencies and digital assets are highly volatile, speculative, and carry a risk of total loss;
• the cryptocurrency sector includes a significant prevalence of fraud, scams, "rug pulls," market manipulation, and projects with no underlying value, and that any coin or token — including those listed on the Site — may be such a project;
• regulatory treatment of cryptocurrencies varies by jurisdiction, may change without notice, and you are solely responsible for determining whether your access to, or any transaction involving, any coin/token referenced on the Site is lawful in your jurisdiction;
• BITNXT has no control over, and no liability for, blockchain networks, smart contracts, project teams, exchanges, wallets, or any other third-party infrastructure or party referenced or linked on the Site.

6.2 Sole Responsibility for Decisions

You assume full and sole responsibility for any decision you make based on information found on the Site, including any decision to acquire, dispose of, or otherwise deal in any coin, token, or digital asset, and for any direct or indirect consequence — financial or otherwise — of that decision.

7.1 Account Information

The Site may allow you to create a user account. You agree to provide accurate registration information, keep your login credentials confidential, and notify BITNXT promptly of any unauthorized use of your account.

7.2 Account Responsibility

You are responsible for all activity occurring under your account. BITNXT is not liable for any loss arising from your failure to safeguard your account credentials.

7.3 Suspension / Termination

BITNXT may suspend or terminate any account at its discretion, including for suspected misuse, fraud, or violation of these Terms.

8.1 No Warranties

THE SITE AND ALL CONTENT, DATA, AND LISTINGS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR AVAILABILITY.

8.2 No Guarantee of Uninterrupted Service

BITNXT does not warrant that the Site will be uninterrupted, secure, timely, or error-free, that defects will be corrected, or that the Site or the servers that make it available are free of harmful components.

9.1 Exclusion of Liability

To the maximum extent permitted by applicable law, BITNXT, its founders, officers, directors, employees, contractors, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or financial loss of any kind, arising out of or in connection with:

• any Listing, advertisement, or third-party content on the Site;
• any decision to acquire, dispose of, hold, or otherwise transact in any coin, token, or digital asset referenced on or linked from the Site;
• any inaccuracy, omission, delay, or error in data or content displayed on the Site;
• any third-party platform, exchange, wallet, or service accessed via a link, advertisement, or referral on the Site;
• any fraud, scam, rug-pull, hack, exploit, or other wrongdoing committed by any third party, including any Listed project or Advertiser;
• unauthorized access to, or alteration of, your data, account, or communications;

regardless of the legal theory asserted (contract, tort, negligence, strict liability, or otherwise), and even if BITNXT has been advised of the possibility of such damages.

9.2 Liability Cap

Without limiting Section 9.1, where BITNXT's liability cannot be fully excluded under applicable law, BITNXT's total aggregate liability to you for all claims arising from or relating to the Site shall not exceed the greater of (a) USD 10, or (b) the total amount, if any, paid by you to BITNXT in the twelve (12) months preceding the event giving rise to the claim. For the avoidance of doubt, users browsing or using free Listing/discovery features pay BITNXT nothing, and accordingly the liability cap for such users is limited to clause (a).

9.3 Non-Excludable Liability

Nothing in this Section 9 is intended to exclude or limit liability that cannot lawfully be excluded or limited under applicable law, including liability for fraud or willful misconduct by BITNXT itself.

10. Indemnification

You agree to indemnify, defend, and hold harmless BITNXT and its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including any/reasonable legal fees) arising out of or in any way connected with: (a) your use of or access to the Site; (b) your violation of these Terms; (c) any decision you make involving any coin, token, project, or Advertiser referenced on the Site; or (d) your violation of any applicable law or third-party right.

11. Project / Advertiser Representations

Any party submitting a Listing or purchasing advertising agrees and warrants that all information provided is accurate, that it has the right to submit such information, that it is not engaged in fraudulent or unlawful conduct, and that it will indemnify BITNXT against any claim arising from its submission or advertisement. BITNXT may suspend or terminate any Listing or advertisement, and pursue any available remedy, where this warranty is breached.

12. Intellectual Property

The Site's design, software, branding, and original written content are the property of BITNXT and may not be copied, reproduced, or used without permission. Third-party logos, trademarks, and project names displayed in Listings remain the property of their respective owners and are used for identification/informational purposes only, without implying any affiliation or endorsement unless separately agreed in writing.

13. Governing Law and Jurisdiction

These Terms shall be governed by the laws of the United Arab Emirates, as applicable in the Emirate of Sharjah, without regard to conflict-of-laws principles. Subject to applicable law, any dispute arising out of or relating to these Terms or the Site shall be subject to the exclusive jurisdiction of the competent courts of Sharjah, UAE.

14. Changes to These Terms

BITNXT may revise these Terms at any time by posting an updated version on the Site. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms. Material changes will be reflected by an updated "Last updated" date above.

Cryptocurrencies and digital assets are unregulated/under-regulated, highly volatile, and carry a high risk of total loss, including risk of fraud. Listings on BITNXT are for informational purposes only and do not constitute investment advice, endorsement, or verification of any project. Many listings are submitted by third parties and are not independently verified. Always conduct your own research (DYOR) and consult a qualified professional before making any financial decision. BITNXT does not facilitate buying, selling, or custody of any digital asset and accepts no liability for losses arising from your use of information on this site.

Relationship to the Terms of Service

This Disclaimer should be read together with, and is incorporated into, the Terms of Service above — in particular Sections 1–6, which set out in full what BITNXT is and is not, the no-advice and no-endorsement position, data accuracy limitations, listings policy, advertising relationships, and assumption of risk. In the event of any inconsistency between this short-form Disclaimer and the Terms of Service, the Terms of Service shall govern.

1. Scope

This Privacy Policy explains how BITNXT (operated by CM Solutions LLC, Sharjah, UAE) collects, uses, stores, and protects personal data when you visit bitnxt.io, create an account, or otherwise interact with the Site. It does not cover the privacy practices of any third-party site you reach via a link or advertisement on the Site (see Section 5.3 of the Terms of Service).

2.1 Account Information

If you create an account, we collect the information you provide at registration, such as your name, email address, and password (stored in encrypted/hashed form, never in plain text).

2.2 Usage and Analytics Data

We use cookies and analytics tools (such as Google Analytics or similar services) to collect information about how you use the Site, including pages visited, time spent, referring/exit pages, browser type, device type, approximate location (derived from IP address), and general usage patterns.

2.3 Cookies

We use cookies and similar tracking technologies to operate the Site (e.g., keeping you logged in) and to understand usage patterns through analytics. You can control or disable cookies through your browser settings; doing so may affect some Site functionality (such as staying logged in).

2.4 Information You Submit

If you submit a coin/token Listing, contact us, or otherwise communicate with BITNXT, we collect whatever information you choose to include in that submission or communication.

2.5 Data We Do Not Collect

We do not currently collect: payment card details, government ID, or other sensitive identity documents, as the Site does not process payments or require identity verification from general users. If this changes (for example, if paid listing/advertising checkout is added), this Policy will be updated accordingly before such collection begins.

3. How We Use Your Data

We use the data described above to:

• create, maintain, and secure your account;
• operate, maintain, and improve the Site, including understanding which features are used and how;
• communicate with you about your account, support requests, or material changes to our policies;
• detect, investigate, and prevent fraud, abuse, or violations of our Terms of Service;
• comply with applicable legal obligations.

We do not sell your personal data to third parties.

4. Legal Basis for Processing

Where applicable data protection law requires a legal basis for processing (such as the UAE's Personal Data Protection Law, the EU/UK GDPR, or other comparable frameworks), BITNXT relies on: (a) your consent (e.g., for non-essential cookies/analytics, where consent is required); (b) performance of a contract (e.g., maintaining your account); and/or (c) legitimate business interests (e.g., securing the Site, preventing fraud), balanced against your rights.

5. Cookies & Analytics Tools

The Site uses analytics cookies to understand aggregate usage trends. These tools may set cookies and collect data such as your IP address and browsing behavior on the Site. We do not control how third-party analytics providers process this data beyond what we configure, and you should refer to the relevant provider's own privacy policy for details of their practices (e.g., Google's privacy policy for Google Analytics, if used). You can manage cookie preferences through your browser settings at any time. Where required by applicable law, we will request your consent before setting non-essential cookies.

6. Data Sharing

We do not sell personal data. We may share limited data with:

• service providers who help us operate the Site (e.g., hosting providers, analytics providers, account/authentication infrastructure), under obligations to protect your data and use it only for the purpose we specify;
• legal/regulatory authorities, where required by applicable law, regulation, court order, or to protect BITNXT's legal rights;
• a successor entity, in the event of a merger, acquisition, or sale of assets, subject to that entity assuming the obligations of this Privacy Policy.

If BITNXT begins working with advertising networks that place tracking cookies on the Site (e.g., programmatic ad platforms), this Policy will be updated to disclose those providers before such tracking begins.

7. Data Storage and Security

We take reasonable technical and organizational measures to protect your personal data against unauthorized access, alteration, disclosure, or destruction, including encrypted storage of account credentials. However, no method of transmission or storage is 100% secure, and we cannot guarantee absolute security.

8. Data Retention

We retain account information for as long as your account remains active, and for a reasonable period afterward to comply with legal obligations, resolve disputes, and enforce our agreements. Analytics data is generally retained in aggregate or anonymized form for longer periods to support usage trend analysis.

9. Your Rights

Depending on your location, you may have rights to access, correct, delete, or port your personal data, or to object to or restrict certain processing. As BITNXT is based in the UAE and the Site may be accessed globally, your data may be processed in the UAE or other countries where our service providers operate. Where required by applicable law, we take steps intended to ensure an adequate level of protection for such transfers.
