Strategy Faces Chanos $80 Billion Bitcoin Arbitrage Claim

Strategy Faces Chanos $80 Billion Bitcoin Arbitrage Claim
Short seller James Chanos calls the gap between Strategy's stock and Bitcoin holdings an $80 billion arbitrage opportunity, reviving debate over MSTR's valuation.

Short seller James Chanos has described the gap between Strategy's stock and its Bitcoin holdings as an $80 billion actionable spread, reviving a debate over the valuation of Michael Saylor's cryptocurrency treasury company that has divided investors for over a year.

The claim, made on August 18, centers on the difference between Strategy's Bitcoin holdings and its equity market valuation. Chanos called the relationship one of the largest pure arbitrage opportunities he had ever seen, referencing his earlier trade in which he shorted MSTR shares while holding a long position in Bitcoin.

The Numbers Behind the Claim

Strategy held 840,447 Bitcoin as of its latest disclosure, following several sales during July and August that reduced the balance from a June peak of 847,363 BTC. At a Bitcoin price of approximately $64,188, those holdings were worth about $53.95 billion. The company's market capitalization stood at roughly $34.4 billion, with shares trading near $97.68 after a 5% gain.

The apparent $19.5 billion gap between Bitcoin holdings and equity value does not tell the full story. Strategy has issued multiple layers of preferred securities — STRC, STRF, STRD, and STRK — carrying dividend rates between 8% and 12%. The company also has outstanding debt and a dollar reserve that reached $4.65 billion. Common shareholders rank behind all of these claims, meaning the equity market capitalization cannot be directly compared with Bitcoin holdings without accounting for the full capital structure.

Why Chanos See This as an Arbitrage

Chanos first constructed his position in late 2024, when MSTR traded at a premium exceeding three times the value of its Bitcoin holdings. He argued that investors were paying too much for Bitcoin exposure available directly or through lower-cost exchange traded products. The premium later narrowed, and Chanos said his firm closed the hedged position in November 2025 after gaining more than 50%.

His latest statement does not confirm that he has reopened the trade. It also does not disclose position size, entry prices, or borrowing costs. However, the $80 billion figure represents his characterization of the opportunity rather than a directly verifiable calculation, since he did not publish a complete methodology showing how he reached that number. Strategy's Modified NAV Tells a Different Story

Strategy's own dashboard placed its modified net asset value multiple at approximately 1.04 on August 18, indicating a premium of only about 4% based on the company's methodology. This measure compares enterprise value with Bitcoin holdings after accounting for parts of the capital structure. An mNAV of 1.04 is far from the wide premium that supported Chanos's original trade in 2024 and 2025.

The company's remaining Bitcoin carried an aggregate acquisition cost of approximately $63.36 billion at an average of $75,385 per coin. At current prices, the position is approximately $9.4 billion below its disclosed purchase cost — an unrealized accounting difference rather than a realized loss unless the coins are sold.

The Risks of the Trade

Direct Bitcoin ownership exposes an investor mainly to price changes and custody security. Holding MSTR adds corporate financing and management risks. Strategy's preferred shares, debt obligations, and dollar reserve requirements create financial obligations that common equity holders must absorb. The company's board has authorized up to $1.25 billion in additional Bitcoin sales to fund its reserve, along with separate $1 billion repurchase programs for preferred securities and common stock.

A short seller must borrow MSTR shares, pay borrowing costs, and manage the possibility that the stock rises faster than Bitcoin. The long side also requires financing. If Bitcoin falls while MSTR rises due to short covering, new financing, or changing investor demand, both parts of the trade can lose money simultaneously.

What Comes Next

Future SEC filings will reveal whether Strategy continues selling Bitcoin, issuing shares, or repurchasing preferred securities. Those decisions, combined with Bitcoin's price trajectory and changes in financing costs, will determine whether the company trades at a premium or discount to its adjusted asset value. Chanos's claim has reignited scrutiny of the MSTR-Bitcoin relationship, but the complexity of Strategy's capital structure means the arbitrage is far from straightforward.
