Market Structure Bill Stalls as JPMorgan Warns of Crypto Headwinds

Market Structure Bill Stalls as JPMorgan Warns of Crypto Headwinds
The Clarity Act faces a narrowing window for passage as banking industry lobbying intensifies, with JPMorgan backing the bill while warning of structural risks in the digital asset framework.

The window for passing the U.S. crypto market structure bill is closing fast, and the pressure is coming from exactly the direction most people wouldn't expect — Wall Street itself.

JPMorgan Chase has publicly endorsed the Digital Asset Market Clarity Act, commonly known as the Clarity Act, but the bank's support comes with a string of caveats that highlight the deep fault lines running through the crypto regulatory debate. In a series of statements and policy recommendations, the bank urged Congress to pair regulatory clarity with strong safeguards, warning that a poorly constructed framework could do more harm than good.

A Bill Caught Between Competing Interests

The Clarity Act aims to establish a clear regulatory perimeter for digital assets in the United States, defining which tokens fall under the Securities and Exchange Commission's jurisdiction and which belong to the Commodity Futures Trading Commission. The legislation has been hailed as a potential catalyst for institutional adoption, but it has also exposed a sharp divide on Wall Street.

BlackRock, Fidelity, and other asset management giants have thrown their weight behind the bill, viewing regulatory clarity as a prerequisite for scaling their digital asset products. JPMorgan, however, has backed changes that Coinbase and the broader crypto industry actively oppose, particularly around provisions governing token issuance and custody requirements.

The banking industry has lobbied aggressively to slow the bill's progress, arguing that certain provisions could give crypto exchanges an unfair regulatory advantage over traditional financial institutions. That lobbying effort appears to be working. The bill has stalled in the Senate, with key senators pushing for compromises on stablecoin yield provisions and conflict-of-interest rules.

JPMorgan's Cautious Endorsement

What makes JPMorgan's position notable is the bank's insistence on repeated warnings even as it offers support. The bank has said that without regulatory clarity, institutional participation in crypto markets will remain constrained, and tokenization initiatives will struggle to gain traction. Yet it has also flagged what it sees as significant structural risks embedded in the current draft.

Among the bank's concerns are provisions that could allow crypto exchanges to self-custody customer assets without the same segregation requirements that apply to broker-dealers. JPMorgan has also raised questions about the bill's treatment of lending and staking activities, arguing that these functions should be subject to banking-style oversight rather than the lighter-touch framework proposed for exchange operations.

The warnings reflect a broader tension in the market. As institutional participation in crypto trading has reached record levels, the stakes of getting the regulatory framework right have grown considerably. A bill that satisfies crypto-native companies but alienates the largest banks could fragment the market rather than unify it.

Political Headwinds and Timing Pressures

The timing of the bill's passage has become a critical concern. With the congressional calendar shrinking and election-year politics complicating bipartisan cooperation, supporters of the Clarity Act face an increasingly narrow window to secure passage before the legislative session ends.

Senators have attempted to unlock the stalled legislation through compromise amendments, particularly around stablecoin yield rules that have drawn opposition from both the banking lobby and consumer protection advocates. But each concession risks alienating another faction in an already fragile coalition.

JPMorgan's warnings about the bill's risks have added weight because the bank is simultaneously one of the legislation's most prominent backers and one of its most vocal critics. That dual stance reflects the complexity of the institutional crypto landscape, where banks are eager for regulatory certainty but unwilling to accept a framework that disadvantages them relative to crypto-native competitors.

What Comes Next

For crypto markets, the bill's fate carries significant implications. JPMorgan has argued that new legislation could be the ultimate spark for the next phase of market growth, unlocking institutional capital that remains sidelined due to regulatory uncertainty. But the bank's repeated warnings suggest that a watered-down or poorly structured bill could be worse than no bill at all.

The market is watching closely. Coinbase's recent revenue miss has underscored the challenges facing crypto exchanges in the current environment, while the broader industry continues to consolidate as revenue concentrates among fewer platforms. Regulatory clarity could reverse that trend — or accelerate it, depending on which version of the bill ultimately reaches the floor.

For now, the Clarity Act remains in limbo, caught between Wall Street giants who want it passed with modifications, crypto companies who want it passed as written, and a Congress running out of time to act.
