DOJ Antitrust Probe Targets a16z Over Competing AI Board Roles

DOJ Antitrust Probe Targets a16z Over Competing AI Board Roles
The DOJ has been investigating Andreessen Horowitz for nearly a year over whether partners improperly hold board seats at competing AI companies Databricks and Fivetran.

The U.S. Justice Department has been investigating whether one of crypto's most prominent venture capital firms is improperly holding board seats at competing artificial intelligence companies, a probe that highlights the growing intersection of antitrust enforcement and the technology sector.

Andreessen Horowitz, which manages $90 billion in assets and operates one of the largest crypto investment funds in the industry, has been under DOJ scrutiny for nearly a year over board positions held by its partners at competing companies, according to a report published on August 17.

The Core of the Investigation

The investigation centers on the Clayton Act, a 1914 antitrust law that restricts individuals from simultaneously serving on the boards of competing companies, a practice known as interlocking directorates. Co-founder Ben Horowitz sits on the board of Databricks, while partner Martin Casado serves as a director at Fivetran. Both companies provide enterprise data and AI infrastructure, creating potential competitive overlap.

Casado had also served on the board of dbt Labs before Fivetran acquired the company in June. The Justice Department reviewed that transaction for months but ultimately cleared the deal without conditions. The separate board investigation began around the same period and has continued even after the acquisition closed, according to people familiar with the matter.

Why This Matters for Crypto

Andreessen Horowitz is not just a venture capital firm — it is one of the most influential institutional investors in the cryptocurrency space. The firm's crypto division recently launched a $2.2 billion vehicle focused on stablecoins, tokenized assets, and blockchain infrastructure. It completed 18 crypto deals during the first half of 2026, ranking among the most active investors in the sector alongside Animoca Brands.

The DOJ probe touches the firm's broader AI portfolio rather than its crypto investments directly, but any enforcement action could affect a16z's ability to make overlapping investments across the technology landscape. The firm has also backed OpenAI, Cursor, ElevenLabs, and SpaceX, giving it extensive reach across the AI and technology sectors. The Clayton Act and Interlocking Directorates

Under previous enforcement actions, the Justice Department has typically resolved concerns by requiring a director to leave one of the competing boards. During the administration of former Assistant Attorney General Jonathan Kanter, the department revived enforcement of the interlocking directorates provision and pushed directors at multiple companies to give up board seats.

The Andreessen Horowitz investigation presents an additional legal question because regulators are examining the firm's representation through more than one partner rather than a single individual serving on two boards. The law is written to apply to companies as well as individuals, and several courts have accepted that interpretation, though a16z could still challenge that reading if the government eventually brings formal allegations.

Political Connections Add Complexity

The antitrust investigation has continued while Andreessen Horowitz has developed close connections with Washington. Marc Andreessen and Ben Horowitz each donated millions of dollars to groups aligned with political candidates during the 2024 election cycle. Andreessen has since taken a role in a federal AI policy initiative, and the Federal Reserve appointed him in July to co-lead an AI task force studying the technology's effects on productivity and employment.

The firm has also been an influential participant in AI policy discussions within the current administration, reportedly pressing successfully for the removal of several AI safety guardrails. On the crypto side, Andreessen Horowitz contributed $24 million to the Fairshake political action committee during the second half of 2025, part of broader crypto industry political spending.

What Happens Next

People familiar with the investigation told reporters that regulators have not reached a final decision on how to proceed, and the inquiry could close without any enforcement action. Spokespeople for Databricks and the Justice Department declined to comment, while Andreessen Horowitz and Fivetran did not respond to requests for comment.

The outcome of the probe could set an important precedent for how antitrust law applies to venture capital firms with portfolio companies in overlapping markets. As AI and crypto converge, with firms like a16z holding significant positions across both sectors, regulatory scrutiny of cross-market investments is likely to intensify regardless of the final decision in this case.
